AI Policy for SaaS Companies: Protecting Customer Data in the AI Era

SaaS companies face unique AI governance challenges — your customer data is your product. What your AI policy must cover to protect it.

Why SaaS Companies Face a Harder AI Governance Problem

Most AI policy guidance is written for companies where the sensitive data is internal — employee records, financial projections, internal strategy. SaaS companies have a different problem: the data your team handles every day belongs to your customers. When a support agent pastes a customer's account data into an AI tool to draft a response, they're not just creating a compliance risk for your company — they're potentially breaching your contract with that customer.

Your Terms of Service and Data Processing Agreement (DPA) with customers almost certainly contain language restricting how you may process, store, or share their data. AI tools are a new processing context that most of those agreements didn't anticipate. Until you've reviewed your customer DPAs against the data practices of the AI tools your team uses, you don't actually know whether your current AI usage is compliant with your own contracts.

This is why AI governance for SaaS companies has to be built on top of your existing data classification framework — not treated as a separate IT policy. Customer Data Input Restrictions: The Non-Negotiable Core

The foundation of any SaaS AI policy is a clear, unambiguous rule about what data categories can and cannot be entered into external AI tools. "External" means any AI tool that processes data outside your controlled infrastructure — which includes nearly every consumer and business AI tool, including Microsoft Copilot in its standard configuration, ChatGPT, Claude, Gemini, and most point-solution AI features embedded in third-party SaaS tools you use.

Your policy needs to define at minimum three data tiers and specify AI tool permissions for each:

The policy rule itself should be simple enough to remember: if the data belongs to a customer, it doesn't go into an external AI tool. No exceptions for "anonymized" data unless your legal team has confirmed the anonymization meets the standard required by applicable regulation — GDPR Recital 26 sets a high bar for what counts as truly anonymized, and most quick-and-dirty redactions don't clear it.

Engineering Team Coding Assistant Guidelines

AI coding assistants are where SaaS companies face the highest-volume data exposure risk from a single team. Engineers work inside codebases that contain configuration logic, database schemas, API structures, and sometimes hardcoded credentials or customer data samples from debugging sessions. When a developer sends a code snippet to GitHub Copilot, Cursor, or a similar tool, the tool's data handling terms — not your internal policy — govern what happens to that code.

GitHub Copilot Business and Enterprise both allow organizations to disable prompt and suggestion storage, and GitHub's published privacy statement describes these controls. Cursor's data retention and training opt-out settings are documented in their privacy policy. Your engineering AI policy needs to require that teams only use these tools under business/enterprise accounts with training and retention disabled — and verify this is configured, not just assumed.

The human review gate isn't just a security measure — it's a quality control requirement. AI coding assistants produce plausible-looking code that can contain logic errors, security vulnerabilities, and dependency issues. Requiring review before merge is standard engineering hygiene that your AI policy should reinforce explicitly.

Customer Support Agent AI Policy

Customer support is typically the highest-risk AI use case in a SaaS company because agents handle Tier 3 data constantly — account identifiers, support ticket content, billing information, sometimes health or financial data depending on your product vertical. The temptation to use AI to draft responses faster is real and completely understandable. Your policy needs to channel that behavior, not just prohibit it.

The right support AI policy doesn't say "don't use AI." It says "use AI this way, with these tools, and never include this type of data." Prohibition without an approved alternative just drives the behavior underground.

Product-Embedded AI Disclosures and Customer Expectations

If your SaaS product includes AI features — AI-generated summaries, smart suggestions, automated categorization, or anything else that processes customer data through an AI model — you have disclosure obligations that go beyond your internal AI policy. Your customers need to know their data is being processed by AI, which AI infrastructure you're using, and what controls they have.

The EU AI Act (Regulation (EU) 2024/1689), which began phased enforcement in 2024, requires transparency around AI systems deployed in certain contexts. For SaaS companies with EU customers, this means your documentation and Terms of Service need to describe AI features in terms customers can act on — not just legal boilerplate. Similarly, if your product serves customers subject to HIPAA, any AI processing of PHI requires a Business Associate Agreement (BAA) with your AI infrastructure provider. Using OpenAI's API to process PHI requires a BAA with OpenAI — they offer one for qualifying customers, but it's not automatic.

SOC 2 and AI Tool Governance: Where They Overlap

If your company holds a SOC 2 Type II certification or is working toward one, your AI tool governance isn't a separate compliance track — it's directly relevant to your existing SOC 2 controls. The SOC 2 Trust Services Criteria (TSC) under the AICPA framework include Logical and Physical Access Controls (CC6), Change Management (CC8), and Risk Assessment (CC3). AI tools touch all three.

Under CC6 (Logical Access), your auditor will ask how you control access to systems that process customer data. If employees are accessing external AI tools with personal accounts and inputting customer data, that's a gap in your access control narrative. Under CC8 (Change Management), AI-generated code being merged without review creates a question about your change management process. Under CC3 (Risk Assessment), if you haven't formally assessed AI tools as a risk vector, your risk register is incomplete.

Common questions

What is the difference between a BAA and a DPA for AI tools?

A Business Associate Agreement (BAA) is a HIPAA-specific contract required when a vendor processes Protected Health Information (PHI) on your behalf — it's only relevant if your SaaS product handles health data. A Data Processing Agreement (DPA) is a broader contract required under GDPR and similar privacy laws whenever a vendor processes personal data on your behalf. For AI tools, you likely need a DPA if you have EU customers, and a BAA on top of that if you process PHI. Both documents need to name the AI tool as a sub-processor and specify what it can do with your data. Not all AI vendors offer both — check before you use the tool with customer data.

Can we use ChatGPT or Claude for customer support drafting if we redact the customer's name?

Probably not safely. Removing a name doesn't make data anonymous under GDPR's standard — if the remaining content could reasonably identify a person when combined with other information (account IDs, issue descriptions, product-specific details), it's still personal data under GDPR Recital 26. For support use cases, the safer path is to use AI features built into your existing helpdesk platform, which already has a DPA in place, rather than exporting ticket content to an external tool even in redacted form.

Does the EU AI Act apply to our SaaS product if we're not based in the EU?

Yes, if you have EU customers. The EU AI Act (Regulation (EU) 2024/1689) applies to providers placing AI systems on the EU market, regardless of where the provider is based — the same extraterritorial logic as GDPR. The obligations depend on how your AI features are classified under the Act's risk tiers. Most SaaS product AI features fall outside the "high-risk" category, but transparency and documentation requirements still apply. Review Article 13 (transparency obligations) and Article 52 (specific transparency obligations for certain AI systems) for the requirements most likely to affect a typical SaaS product.

How do we handle AI tool governance when contractors or offshore teams are involved?

The same rules apply — your acceptable use policy should explicitly cover contractors, freelancers, and any third-party team members who access your systems or customer data. In practice, you enforce this through your contractor agreements (include AI tool restrictions in your standard contractor NDA or services agreement) and through access controls (contractors should only access data through your managed systems, not their personal accounts). Offshore development teams working in your codebase are particularly high-risk for coding assistant misuse, since they may have different default assumptions about data handling.
